Agreement to Terms
By accessing and using the website backonrails.nl and the services provided by Back On Rails ("we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms are governed by Dutch law.
Services
- Back On Rails provides marketing strategy, branding, web design, web development, SEO, and related digital services.
- Service details, timelines, and deliverables are specified in individual project proposals and agreements.
- We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
Quotes & Proposals
Quotes provided through our website configurator or via direct communication are estimates and are valid for 30 days unless otherwise stated. A project commences only upon mutual written agreement (including email confirmation) on scope, pricing, and timeline. Prices are exclusive of VAT (BTW) unless explicitly stated otherwise.
Payment Terms
- Payment schedules are defined in individual project agreements. Standard terms require 50% upfront and 50% upon delivery, unless otherwise agreed.
- Invoices are due within 14 days of the invoice date.
- Late payments may incur statutory interest as permitted under Dutch law, plus reasonable collection costs.
- We reserve the right to suspend work on any project with outstanding payments.
Intellectual Property
- All content on backonrails.nl - including text, graphics, logos, code, and design - is the intellectual property of Back On Rails and is protected under Dutch and international copyright law.
- Upon full payment, clients receive ownership of custom deliverables as specified in the project agreement. We retain the right to showcase work in our portfolio unless otherwise agreed.
- Third-party assets (fonts, stock images, plugins) remain subject to their respective licenses.
Client Responsibilities
- Provide accurate and complete information, content, and materials as needed for the project.
- Review and provide feedback within agreed timelines. Delayed feedback may impact project schedules.
- Ensure that all content and materials provided to us do not infringe upon any third-party rights.
- Maintain backups of your own data and content where applicable.
Limitation of Liability
To the maximum extent permitted by Dutch law, Back On Rails shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to the use of our services or website. Our total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
Warranties & Disclaimers
- We strive for excellence but provide our website and services "as is" without warranties of any kind, express or implied, regarding merchantability or fitness for a particular purpose.
- We do not guarantee uninterrupted access to our website or that it will be free of errors or security vulnerabilities.
- Results from marketing services (SEO rankings, traffic, conversions) are projections and not guaranteed outcomes.
Confidentiality
Both parties agree to treat all confidential information shared during the course of a project with strict confidentiality. This includes business strategies, proprietary data, login credentials, and any information marked as confidential. This obligation survives the termination of any agreement between the parties.
Termination
- Either party may terminate a project agreement with 30 days written notice.
- Upon termination, the client is responsible for payment of all work completed up to the termination date.
- We will provide reasonable assistance in transitioning deliverables and access upon termination.
Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, pandemic, government actions, power failures, or internet outages.
Governing Law & Disputes
These Terms & Conditions are governed by the laws of the Netherlands. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent court in Amsterdam, the Netherlands.
Changes to Terms
We reserve the right to update these Terms & Conditions at any time. Changes will be effective immediately upon posting on this page. Your continued use of our website and services after changes constitutes acceptance of the revised terms. We encourage you to review this page periodically.
